Client Connection Portal Use Terms + Conditions

Congratulations on joining The Institute for Coaching Mastery Client Connection Portal. The Client Connection Portal is designed to support coaches-in-training who are looking to develop their professional skills even further. This is an amazing opportunity for you to receive high-level coaching. 

This Agreement is made and entered into by and between Alyssa Nobriga International, LLC ("Company” or "We" in this document) and you, the client electing to purchase access to the Client Connection Portal  ("You" or “Client” in this document) with respect to your election to join the Client Connection Portal (“Portal”) and receive coaching services provided by Student Coaches in the Institute for Coaching Mastery Coaching Certification Program.  For purposes of this Agreement, “Student Coach” shall mean students who are currently enrolled in Company’s Institute for Coaching Mastery Coaching Certification Program, and who are ready to complete coaching hours in connection with their certification program. 

I. Portal Services

  1. Upon full execution of this Agreement and completing the ninety-seven ($97) U.S. dollar payment, Client will receive four (4) 60-minute coaching sessions with a Student Coach through the Client Connection Portal program. 

  2. Client will then be matched by Company with a Student Coach based on their responses to the Client Interest Survey. 

  3. If Client elects to proceed with the matched Student Coach, Client must respond to Student Coach’s initial email which they will receive between June 8, 2026 and June 19, 2026, within seven (7) business days in order to accept the coaching. If accepted, Client will receive four (4) 60-minute Student Coaching sessions at no additional cost beyond the one-time $97 fee (“Student Coaching Sessions”). 

  4. Once accepted, Student Coach and Client will continue the relationship and communicate to complete all four (4) Student Coaching Sessions without Company involvement. 

  5. Coach Matching + Session Timing:

    1. Client understands and agrees that while preferences may be desired regarding coach characteristics (including, but not limited to, gender, experience level, or scheduling), Company does not guarantee or accommodate specific requests.

    2. Student Coaches are assigned based on factors including time zone, availability, and program needs, in order to maintain fairness and accessibility across all participants.

    3. Client understands and agrees that Student Coaching Sessions are encouraged to begin in July or August 2026, unless the Student Coach and Client mutually agree on a different start date. Sessions must be completed by December 1, 2026.

    4. By participating in the Portal, Client acknowledges and agrees to remain flexible and open to the assigned Student Coach and session timing. Client understands that all Student Coaches have received training through the Institute for Coaching Mastery and are prepared to provide coaching services as part of their training and certification process.

II. Client Responsibilities 

  1. Client agrees to maintain open communication with Student Coaches regarding scheduling and/or any need to reschedule. 

  2. Client understands he/she/they must respond to Student Coach’s initial email within seven (7) business days in order to remain eligible for coaching with this Student Coach. 

  3. Client agrees to be fully present for the duration of the entire session for all four (4) coaching sessions with Student Coach (e.g., not distracted, not driving, not working, etc).

  4. Client understands and is aware that Student Coach is still in training and agrees to work with the Student Coach with full knowledge of this fact. Client has been advised of and is aware of any and all risks associated with working with a newer coach, and hereby assumes all such risks in order to proceed within Portal. Client unequivocally and voluntarily provides Company with consent to be matched with a potential Student Coach, and provides consent to the Student Coach to contact Client regarding possible sessions. Any decision by Client to move forward with one or more sessions with Student Coach is wholly and completely up to Client, and may be stopped at any time. 

  5. I have read and I understand the provided information and have had the opportunity to ask questions. I understand that my participation is voluntary and that I am free to withdraw at any time, without giving a reason, though a refund will not be offered. 

  6. Coaching success is fully dependent on the commitment of Client to the process, to taking action and to completing any homework or exercises offered by Student Coach. Client understands and agrees coaching services can never come with a guarantee or promise of any particular outcome, and will be limited to offering accountability, support, guidance, and education. 

III. Student Coaching Session Cancellation Policy

Student Coach is generally available for coaching Monday through Friday, 9am to 5pm in the Client’s time zone. Should Client prefer to have their sessions held before 9am, after 5pm, or on the weekend, Client will share this with Company on the Client Interest Survey. If a Student Coach is available during these times, Company will match Client appropriately, although this is not guaranteed. 

Client understands that in addition to receiving the benefit of Student Coaching Sessions, Student Coach is also receiving the opportunity to log several hours of coaching and gain experience and feedback. Due to this, Client is allowed to reschedule once, and is required to give Student Coach no less than twenty-four (24) hours notice if rescheduling or cancellation is needed for a scheduled Student Coaching Session. Should Client cancel his/her/their session less than 24 hours prior to the session start time, the session will be forfeited and the forfeited session will not be refunded. Student Coach will make every effort to reschedule Student Coaching Session, and Client agrees he/she/they will make scheduled sessions a priority to attend. 

If Client calls more than 10 minutes past the scheduled appointment time, the scheduled appointment is lost and considered a missed session without 24 hours notice.

IV. Company Responsibility 

  1. The sole purpose of Company and Portal is to provide Client and Student Coach a platform upon which they can become matched with one another, and complete the four (4) Student Coaching Sessions as outlined herein and offered on the Portal. As outlined below, Company is to have no legal liability or responsibility should an issue arise between Client and Student Coach on a Student Coaching Session or otherwise. Client understands the limitations of Company’s involvement, and agrees to resolve any legal matter or issue with Student Coach directly. 

  2. If there is a problem or concern with Student Coach that Client wishes to discuss with Company, please state it in writing and give Company the opportunity to respond within 30 calendar days. Company is happy to discuss with Client and receive feedback regarding Student Coach. If appropriate, and at the sole and absolute discretion of Company, Company may allow Client the option to be re-matched with another Student Coach within Portal. However, Company will not be involved in resolving any legal matter or dispute between Student Coach and Client. 

V. Disclaimer

  1. Client understands there are no guaranteed results from the Student Coaching Sessions, and We cannot make any representations or guarantees regarding individual results. This program is designed to allow the Student Coach to provide the opportunity to educate, hold accountable, inform, and support Client in his/her/their goals, but cannot guarantee specific results, or that each form of coaching will resonate with Client. Client will hold Company harmless if he/she/they do not experience the desired results, or if Student Coach performs coaching services that do not align with or elicit results for Client. Client understands that all services being performed by Company in connection with the Portal are provided on an “as is” basis, meaning, it is without any guarantees, representations, or warranties, including but not limited to warranties relating to quality, non-infringement, fitness for a particular purpose, merchantability, or expectation or course of performance. 

Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed. If Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach. 

Client is electing voluntarily to purchase this program and to request a coaching match through Portal and does not hold Company responsible should Client become dissatisfied with any portion of the program or coaching services being received, as long as Company delivers the program as described herein.

VI. Termination of the Contract 

  1. This Agreement will automatically terminate once all sessions have been used by Client OR by December 15, 2026,  whichever comes first. 

  2. Company reserves the right to terminate Client’s coaching sessions at any time, in its sole and absolute discretion, if Company has reason to believe Client is behaving inappropriately or otherwise negatively impacting the Portal.

VII. Confidentiality 

Client understands and agrees he/she/they are willingly and voluntarily electing to purchase four (4) 60-minute coaching sessions with Student Coach and provide the personal information requested in order to properly match Client with a Student Coach. Company will undertake commercially reasonable measures in order to ensure Client’s personal data is secure, protected, and not shared with anyone outside Company other than the selected Student Coach. However, as you are no doubt aware, it is impossible to completely guarantee the confidentiality of information that is transmitted electronically. This is particularly true of e-mail and information stored on computers connected to the internet, which do not utilize encryption and other forms of security protection. Client confirms to the fullest extent of the law, he/she/they will not hold Company responsible for any unintended data breach. If such breach occurs or is suspected, Company will take all measures as is required by law, and inform Client of the potential breach, and what to do thereafter. 

Client understands and is aware that Student Coach is still in training and is pursuing  Coaching Certification through ICM (The Institute for Coaching Mastery). That process requires that the Coach share video-recorded coaching sessions to demonstrate coaching proficiency (“Recording”). By agreeing to the Terms & Conditions, Client agrees to have sessions with Student Coach recorded, and understands they will be shared with ICM staff members for the sole and necessary purpose of ensuring quality and verifying coaching proficiency. Recordings will be maintained by Student Coach and retained for period specified by Student Coach. Client may request Student Coach delete the Recording upon completion of Student Coach’s ICM participation, and completion of certification. Client may also request information from Student Coach regarding the safety measures in place to ensure secure protection of the Recording.    

VIII. Limitation of Liability
Client understands and agrees this Agreement concerns the Student Coach match and resulting four 60-minute sessions. Any and all additional coaching services that stem therefrom are solely between Student Coach and Client; Company is not to have any involvement or liability. Client agrees at all times to defend, fully indemnify and hold Company and any affiliates, agents, team members or other party associated with Company harmless from any causes of action, damages, losses, costs, expenses incurred as a result of Client’s use of Portal and experience with Student Coach, as well as any third-party claims of any kind (including attorney’s fees) arising from his/her actions as a direct or indirect result of Client’s participation in Portal and Student Coaching Sessions. 

VIII. Dispute Resolution
Should a dispute arise between Client and Company with respect to the Portal or matching service, the parties agree to attempt to resolve by good-faith negotiations and discussions. (Client agrees that failure to see results is not a basis for a “dispute” and agrees he/she does not hold Company responsible for any specific results with Student Coach.) If unable to reach a resolution informally, Client and Company agree that all disputes will be submitted for Arbitration by the American Arbitration Association, to be completed in Los Angeles, California within a reasonable amount of time. Client and Company agree to participate in the arbitration process in good faith and in a manner that will effectively and efficiently resolve the dispute at hand, including the exchange of any materials, documents, or information. The decision made by the arbitrator is to be final and binding on both parties, and is not to be appealed or otherwise set aside. It is to be enforceable in any court of proper jurisdiction as a judgment of law or decree. This Agreement shall be governed by and under control of the laws of California regardless of conflict of law principles, and regardless of location of Client. Client understands this and agrees that the laws of California are to be applicable here.
